ST. PETERSBURG WOODCRAFTERS GUILD
BY-LAWS
Article I
Name:The name of the organization shall be the St. Petersburg Woodcrafters Guild.
Article II
The objectives of this Guild are;
A.To assist members in gaining expertise on woodworking and knowledge of woods and to develop a high standard of craftsmanship,
B. To provide a format of the exchange of information among members,
C.To promote awareness and appreciation for woodworking by the public,
D.To engage in projects for the production of items, made by guild members, for distribution to worthy recipients,
E.�To establish and maintain a library of woodworking books, magazines, catalogs and other literature for use by its members, and
F. To operate as a not for profit organization.
Article III
Membership and Dues:
Members shall be interested woodworkers, regardless of expertise, who demonstrate an interest in woodworking.Dues shall be in the amount fixed by the needs of the guild and voted upon by the organization.Such dues shall be payable in January of each calendar year.If dues are not paid by the February meeting of each year, persons not paying their dues shall be dropped from the membership roll.
Article IV
Elected Offices and Terms:
A slate of proposed officers and directors shall be submitted to the members by the Nominating Committee in October and shall be voted on at the November Meeting.Nominations from the floor may be made providing those so nominated have given prior approval.Officersterms of office will be January through December.Elected officers will be President, Vice-President, Program Director, Secretary and Treasurer and Members-at-Large.The President and the Vice President will be limited to two consecutive terms.
In the event of death, illness, relocation, malfeasance, or other irreversible situation, upon agreement by five (5) of the seven (7) members of the entire board of directors, a new officer or board member may be appointed until the next general election.
Article V
Elected Officers Duties:
President - Will preside at all general membership meetings and will assign all appointive officers and committee chairman.
Vice-President - Will focus on increasing guild membership and sponsor recruitment. Shall exeercise all powers of and perform the duties of the president in case of need.
The Program Director will schedule, plan and follow-up with all teaching and activities programs.
Secretary - Shall keep the minutes of all meetings and keep all books, documents and papers of the Guild.
Treasurer - Shall control and account for all funds of the Guild, receive all dues, make disbursements as required, and maintain a checking account.The account shall be audited annually in January.
Article VI
Board of Directors:
The Board of Directors will consist of seven members as follows; President, Vice-President, Program Director, Secretary, Treasurer and two Members-at-Large, one of whom will be the immediate past president if they chose to participate.
The President shall preside at the Board of Directors' meetings.The Board of Directors shall determine and supervise the implementation of Guild policies, programs and practices to assure that the Guild operates for the purpose intended.The board of Directors shall establish and supervise the installation of sound business, administrative and financial procedures.
Any one or more members of the Board can call for meetings of the Board of Directors.
Article VII
Appointed Officers and Committees and Their Duties:
The President has sole authority to make Committee Chairmen appointments.Each Committee Chairman shall select the other members of his committee.
Article VIII
Standing Rules.
1.Every officer and committee chairman shall, on leaving office, turn over to his successor all records, monies and materials that belong to the Guild.
2.Approval of any Guild business may be by majority vote of members present at regular scheduled membership meeting.Only members in good standing may vote on any issue.
3.In the event that the Guild should have to be dissolved, a method for disposal of funds should be agreed upon by the membership.
4.These By-Laws can be amended at any regularly scheduled membership meeting by a majority vote of members present, providing notice of intended amendment is publicized at a previous membership meeting.
Article IX
By-Laws Revisions.
Any By-Law or portion thereof may be suspended by a majority vote of the members present at any regular meeting, and such suspension shall remain in force only until the next regular meeting.

Note:Following discussion held at the April 23, 2003 regular business meeting of the Guild, the majority of members present voted to modify these By-Laws to reflect replacing a vacated board member�s position due to special circumstances (see second paragraph of Article IV).
